CropStack Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and CropStack ("CropStack," "we," "us," or "our") governing your access to and use of the CropStack web application, websites, and related services (collectively, the "Service"). CropStack is operated by CROP STACK LLC, located at 1701 Heim Road, Mount Dora, FL 32757, USA.
By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
CropStack is a software-as-a-service platform that helps agricultural operations manage crop-protection and agricultural-chemical inventory and related workflows, including inventory tracking and movements, storage locations, chemical/product libraries, spray programs, orders and vendor bids, transfers, forecasting, planning, team management, and AI-assisted tools (voice entry, document import/parsing, chemical lookup, and an advisor/assistant). We may add, change, or remove features over time.
2. Eligibility and Accounts
- You must be at least 18 years old and able to form a binding contract to use the Service.
- If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms, and "you" includes that organization.
- You must provide accurate account information and keep it current.
- You are responsible for safeguarding your login credentials and for all activity that occurs under your account. Notify us promptly at cropstack.ai@gmail.com of any unauthorized use or security breach.
3. Organizations, Roles, and Access
The Service is multi-tenant. Accounts are organized into organizations ("tenants" / farm companies) with roles (such as owner, manager, consultant, and employee) and farm-level assignments that determine what each user can view and do. Account owners and administrators control membership, roles, permissions, and the organization's data, and may add or remove users and access, export, or delete data within the account. If you are invited to an organization, your access may be granted, modified, or revoked by that organization's administrators.
4. Fees
- The Service is currently provided free of charge. We do not offer paid subscriptions at this time.
- We reserve the right to introduce paid plans or fees for some or all features in the future. If we do, we will present the applicable fees, billing terms, and plan details before you incur any charge, and we will give you the opportunity to decline. We will not start charging you for the Service without your agreement.
- Because the Service is provided without charge, it is offered "as is" and we may modify, limit, or discontinue features or the Service as described in these Terms.
5. Your Content and Data
- Ownership. As between you and CropStack, you (and/or your organization) own the data, content, files, and materials you submit to the Service ("Customer Data").
- License to operate the Service. You grant CropStack a worldwide, non-exclusive license to host, store, process, transmit, display, and otherwise use Customer Data solely to provide, maintain, secure, and improve the Service, including transmitting relevant inputs to the third-party providers described in our Privacy Policy (such as the AI provider for transcription, parsing, lookup, and advisor features).
- Responsibility for content. You are responsible for Customer Data and for ensuring you have the rights to submit it and that doing so does not violate these Terms or any law.
- Accuracy. Inventory, application records, and other operational data are only as accurate as what is entered. You are responsible for verifying records used for compliance, reporting, or application decisions.
6. Acceptable Use
You agree not to:
- Use the Service in violation of any applicable law or regulation, including agricultural, environmental, pesticide, worker-safety, and data-protection laws;
- Access, use, or attempt to access data or accounts that you are not authorized to access, or interfere with other tenants' data;
- Upload malware, attempt to breach or probe security, or disrupt or overload the Service or its providers' infrastructure;
- Reverse engineer, decompile, scrape, or copy the Service except as permitted by law;
- Resell, sublicense, or provide the Service to third parties except as expressly allowed;
- Misuse AI features (for example, attempting to extract other users' data, generate unlawful content, or circumvent usage limits); or
- Use the Service to infringe intellectual-property or privacy rights.
We may suspend or limit access to protect the Service, our users, or third parties, or to investigate suspected violations.
7. AI Features — Important Disclaimer
The Service includes AI-assisted features that use third-party AI models (currently Google's Gemini models) to transcribe voice input, parse documents, look up product/chemical information, and answer questions.
AI output is provided for informational and convenience purposes only and may be inaccurate, incomplete, or out of date. AI-generated content is not professional agronomic, scientific, legal, regulatory, financial, or pesticide-application advice, and is not a substitute for the product label, official regulatory sources, or a licensed crop advisor, agronomist, or applicator.
You are solely responsible for all decisions and actions taken based on the Service, including any AI output. Before purchasing, mixing, storing, applying, or disposing of any crop-protection or agricultural-chemical product, you must:
- Read and follow the product's registered label ("the label is the law");
- Verify rates, restricted-entry intervals (REI), pre-harvest intervals (PHI), registered crops/uses, and personal-protective-equipment requirements; and
- Comply with all applicable federal, state/provincial, and local laws and regulations.
CropStack does not warrant the accuracy, legality, safety, or suitability of any chemical, rate, recommendation, or program surfaced through the Service, and is not liable for outcomes resulting from your reliance on it.
8. Third-Party Services
The Service relies on and integrates third-party providers (including Supabase, Vercel, Google's Generative AI API, and Sentry). Your use of the Service may also be subject to those providers' terms. We are not responsible for third-party services, and their availability or changes may affect the Service.
9. Intellectual Property
The Service, including its software, design, text, graphics, logos, and the "CropStack" name and branding, is owned by CropStack or its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes. We reserve all rights not expressly granted. You may not use our trademarks without prior written permission.
If you provide feedback or suggestions, you grant us a perpetual, royalty-free right to use them without obligation to you.
10. Confidentiality and Privacy
Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you acknowledge the Privacy Policy.
11. Service Availability
We strive to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, or factors beyond our control (including third-party providers). We may modify, suspend, or discontinue all or part of the Service, and will use reasonable efforts to provide notice of material discontinuation.
12. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY CONTENT (INCLUDING AI OUTPUT OR CHEMICAL/PRODUCT DATA) IS ACCURATE, COMPLETE, CURRENT, OR RELIABLE. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- CROPSTACK AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, CROP LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
- CROPSTACK'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $100.
These limitations apply regardless of the legal theory and even if a remedy fails of its essential purpose. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
14. Indemnification
You agree to indemnify, defend, and hold harmless CropStack and its affiliates and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your Customer Data; (b) your use of the Service; (c) your violation of these Terms or applicable law; or (d) your decisions or actions involving crop-protection or agricultural-chemical products, including those informed by the Service or its AI features.
15. Suspension and Termination
- You may stop using the Service and close your account at any time.
- We may suspend or terminate your access if you breach these Terms, fail to pay fees, or if necessary to protect the Service, our users, or third parties, or to comply with law.
- Upon termination, your right to use the Service ends. We may delete Customer Data after a reasonable period, except where retention is required by law. You are responsible for exporting any data you wish to keep before termination.
- Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnification, and governing law) will survive.
16. Changes to the Terms
We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date and provide reasonable notice (such as within the Service or by email). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
17. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. The parties agree to the exclusive jurisdiction and venue of the state and federal courts located in Lake County, Florida for any dispute, except that either party may seek injunctive relief to protect its intellectual property or confidential information.
18. Miscellaneous
- Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and CropStack regarding the Service and supersede prior agreements on that subject.
- Severability. If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver. Our failure to enforce a provision is not a waiver of it.
- Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
- Force majeure. We are not liable for failures or delays caused by events beyond our reasonable control.
- Notices. We may provide notices through the Service or by email to your account address.
